The assignment:
As part of the sales process for a business unit of an industrial corporation, an existing business plan needed validation in the context of a planned carve-out. Our task was to critically assess key assumptions, computational logic, and structural foundations through an independent and objective review. By conducting a thorough commercial examination, we aimed to identify potential discussion points early, thereby providing clarity and substance for the forthcoming negotiations.
The approach:
The analysis was conducted as a formal and computational validation of the submitted planning documents, including profit and loss accounts, balance sheets, cash flow, as well as financing and depreciation planning. Assumptions that were highly sensitive were thoroughly examined, issues were documented and clarified in consultations with the plant management. Additionally, supplementary documents were requested and reviewed to validate individual premises, ensuring we maintained the highest level of transparency at all times.
The result
Our independent analysis has provided a robust foundation for the next steps in the transaction process. Our commercial assessment delivered key insights into the plausibility and transparency of the assumptions, highlighting critical sensitivities. Potential discussion points were identified early and addressed in a structured manner. This significantly increased transparency for all parties involved and made a valuable contribution to investor communication.
